Terms of Service

Services and Scope

Ironwood Holdings LLC provides construction coordination, property improvement, procurement, vendor coordination and project documentation services. Actual services are limited to an accepted written proposal, estimate, statement of work or agreement.

Proposals and Changes

Quotes are based on information available when prepared and are valid for the stated period. Work outside the agreed scope requires written authorization and may change pricing or schedule. Site conditions, material availability, client decisions, permits and third-party performance may require revisions.

Pricing and Payment

Prices are stated in U.S. dollars unless expressly identified otherwise. Payment schedules may include deposits, retainers, milestones, progress payments and final balances. The client is responsible for approved taxes, permits, materials, shipping, travel and third-party costs. Late or failed payments may result in suspension or termination.

Client Responsibilities

Clients must provide accurate information, timely decisions, site access, lawful instructions, approvals and a safe working environment. Delays caused by a client may affect cost and completion timing.

Construction Conditions

Work may be affected by concealed conditions, code requirements, inspections, weather, utilities, hazardous materials and supply constraints. Unless expressly included, architectural, engineering, environmental, legal and other regulated professional services are excluded. Work requiring licensure will be performed by properly licensed parties where legally required.

Intellectual Property

Each party retains pre-existing intellectual property. After full payment, the client receives rights to final deliverables expressly granted by the applicable agreement. Ironwood retains its methods, processes, templates, tools and know-how.

Warranty and Liability

We will perform accepted services professionally and according to the written scope. Except where prohibited by law or expressly stated in a signed agreement, no additional warranty or guaranteed commercial result is provided. To the maximum extent permitted by law, Ironwood is not liable for indirect, special or consequential damages. Any aggregate liability is limited to the amount paid for the specific service giving rise to the claim.

Suspension and Termination

We may suspend or terminate services for nonpayment, breach, fraud concerns, unlawful instructions, unsafe conditions or material interference with performance. Payment for completed work and committed costs remains due.

Governing Law

These terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law rules. The parties will attempt good-faith resolution through written notice before pursuing formal remedies.
